1. Who we are

AgentValet is a professional setup service operated by Weisung Technology Ltd, a private limited company registered in England and Wales, trading as SwapToSaaS and AgentValet ("we", "us", "our"). By purchasing an AgentValet service, you ("Customer", "you") agree to these Terms of Service.

2. Description of service

AgentValet provides one-time professional setup services for self-hosted AI agent frameworks (including but not limited to OpenClaw, Hermes, Codex, and custom implementations). The service includes: installation on the Customer's designated infrastructure, initial configuration, integration with communication channels (Telegram, WhatsApp, Slack, Discord), and preconfiguration of skills as specified in the selected pricing tier.

AgentValet is not a hosting provider. The Customer supplies their own server (VPS) and their own API credentials with model providers.

3. Pricing tiers and deliverables

  • Starter ($275): one agent framework, deployed on Customer's VPS, one channel integration, 3 preconfigured skills, 30-day email support. Delivered in 24-48 hours.
  • Pro ($415 + $29/mo optional): everything in Starter, 8 business skills, custom SOUL.md/MEMORY.md initialization, monthly 30-min tuning. Delivered in 3-5 business days.
  • Business ($690 + $55/mo optional): everything in Pro, multi-channel, integrations, priority support, two 60-min consulting calls. Delivered in 7-10 business days.

4. Customer responsibilities

  • Provide functional VPS access credentials (SSH) within 24 hours of purchase.
  • Provide valid API keys for the AI model providers you wish to use.
  • Ensure the VPS meets minimum requirements (2 vCPU, 4GB RAM, 40GB disk, Linux).
  • Respond to clarification requests during the setup window.
  • Comply with the terms of service of all third-party providers (VPS, AI model, communication channels).

5. Delivery and acceptance

Delivery is complete when the AI agent responds to the Customer's test message on the agreed communication channel. The Customer has 72 hours from delivery to report any deliverables not matching the tier description. After 72 hours the delivery is deemed accepted.

6. Refunds

We offer a 14-day money-back guarantee. You may request a full refund within 14 days of the transaction date, for any reason. See our Refund Policy for the full procedure.

7. Ownership and license

All artifacts delivered as part of the service (SOUL.md, MEMORY.md, custom skills, configuration files) become the Customer's property upon full payment. The underlying open-source frameworks (OpenClaw, etc.) remain under their respective open-source licenses.

AgentValet retains no access to the Customer's server, data, or credentials after delivery unless the Customer explicitly requests continued support access.

8. Data privacy

We do not store Customer conversation history, personal data, or API keys on our infrastructure. Setup credentials provided by the Customer are used only for the setup task and deleted upon delivery. See our Privacy Policy.

9. Third-party services

The service integrates with third-party providers (AI model APIs, communication channels, VPS providers). AgentValet is not responsible for outages, price changes, or terms changes of these third parties. API consumption costs are billed by the third-party provider directly to the Customer.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the amount the Customer paid for the specific service. We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of business, data loss, or reputational damage.

11. Payment processing

Payments are processed by Stripe Payments Europe, Ltd. Your receipt will show a charge from "SwapToSaaS" or "Weisung Technology" on your statement. Prices are shown in USD. UK VAT, EU VAT, or other applicable sales taxes may be added at checkout based on your billing location; if no tax is shown, the price is inclusive of any tax we are required to remit.

12. Termination

Either party may terminate ongoing monthly subscriptions with 30 days' written notice. One-time setup services are not terminable once delivery has begun; refund terms apply as described above.

13. Governing law

These Terms are governed by the laws of England and Wales. Any dispute shall be resolved in the courts of England and Wales, subject to mandatory consumer protection laws applicable in the Customer's jurisdiction.

14. Changes to these terms

We may update these Terms from time to time. Continued use of the service after changes are posted constitutes acceptance. Material changes affecting existing customers will be communicated by email at least 14 days in advance.
